AGRORION – GLOBAL TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern access to and use of the AGRORION website, services, and marketplace platform located at https://agrorion.com (the “Platform”).
The Platform is operated by Agrorion, LLC, a Tennessee limited liability company (“AGRORION,” “we,” “us,” or “our”).

By accessing or using the Platform, creating an account, purchasing products, or listing products as a vendor, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
- CORE MARKETPLACE DISCLOSURES
1.1 Platform-Only Role
AGRORION is a technology marketplace platform only. AGRORION does not:
- Own, produce, grow, raise, inspect, package, store, or transport products
- Act as a buyer, seller, broker, agent, or distributor
- Guarantee product quality, safety, legality, or compliance
1.2 Buyer–Vendor Relationship
All transactions occur directly between Buyers and independent third-party Vendors. AGRORION is not a party to sales contracts.
1.3 No Product Warranties
AGRORION makes no warranties regarding products, including food, perishables, or livestock. Vendors bear all responsibility.
- DEFINITIONS
- Buyer – Any user who purchases or attempts to purchase products.
- Vendor – Any user who lists or sells products on the Platform.
- Listing – A product or service offered by a Vendor.
- Content – All materials uploaded or transmitted on the Platform.
- Fees – Subscription fees, commissions, service fees, or processing fees.
- ELIGIBILITY & ACCOUNTS
3.1 Age & Authority
You must be 18 years or older and legally capable of forming contracts.
3.2 Account Security
You are responsible for all activity under your account and for safeguarding credentials.
3.3 Verification
AGRORION may require identity, business, or payment verification at any time and may suspend accounts pending verification.
- PROHIBITED CONDUCT & ITEMS
4.1 Prohibited Conduct
You may not:
- Violate any law or regulation
- Post misleading or fraudulent listings
- Circumvent fees or payment systems
- Harass, threaten, or exploit users
- Interfere with Platform security or operations
4.2 Prohibited Items (Non-Exhaustive)
The following are strictly prohibited:
- Illegal goods or services
- Unsafe, recalled, or misbranded products
- Regulated food, supplements, or livestock without required permits
- Medical or health claims not legally authorized
- Counterfeit or infringing goods
- Weapons, drugs, or controlled substances
- Items prohibited by sanctions or export laws
AGRORION may remove listings or terminate accounts without notice.
- VENDOR TERMS (SELLERS)
5.1 Vendor Responsibilities (Non-Delegable)
Vendors are solely responsible for:
- Product legality, safety, quality, and accuracy
- Food safety, labeling, allergens, storage, and handling
- Livestock health, welfare, transport, and biosecurity
- Pricing, fulfillment, delivery, and pickup
- Refunds, returns, and customer service
- All taxes and regulatory compliance worldwide
AGRORION does not verify compliance.
5.2 Vendor Pricing & Fees
Current Plan (as displayed on the Platform):
- Free to sign up
- Unlimited listings
- Low 10% commission on all sales
Fees may change with notice.
5.3 Billing, Renewal & Cancellation
- Subscriptions may auto-renew unless canceled.
- Fees are non-refundable except where required by law.
- Non-payment may result in suspension or termination.
5.4 Payments & Payouts (PayPal)
- AGRORION uses PayPal as its payment processor.
- Vendors must maintain a valid PayPal account.
- PayPal processing fees apply separately.
- AGRORION may place payout holds for fraud prevention, disputes, or chargebacks.
5.5 Chargebacks
Chargebacks may result in:
- Payout holds
- Account suspension
- Recovery of fees and losses
5.6 Insurance (Strongly Recommended)
Vendors are strongly encouraged to carry:
- Commercial general liability insurance
- Product liability insurance
- Livestock insurance (if applicable)
- BUYER TERMS
6.1 Buyer Responsibilities
Buyers must:
- Review listings and Vendor policies before purchase
- Handle food and perishables safely
- Understand livestock risks and transfer terms
6.2 Refunds & Returns
Refunds and returns are governed solely by Vendor policies, subject to applicable law. Many farm products are non-returnable.
- SHIPPING, DELIVERY & RISK OF LOSS
Vendors control fulfillment. AGRORION is not responsible for delays, spoilage, damage, or loss.
- TAXES
Vendors are responsible for all applicable taxes. Buyers are responsible for import duties or local taxes.
- CONTENT, REVIEWS & LICENSE
You grant AGRORION a worldwide, royalty-free license to host and display your Content for Platform operation and marketing.
False or abusive reviews may be removed.
- INTELLECTUAL PROPERTY & DMCA
AGRORION responds to valid IP infringement notices under applicable law, including DMCA-style takedowns where applicable.

Repeat infringers may be terminated.
- NOTICE & ACTION / EU DIGITAL SERVICES ACT
AGRORION provides mechanisms to:
- Report illegal or prohibited content
- Submit complaints regarding moderation actions
We may comply with EU Digital Services Act obligations for users accessing the Platform from the EU.
- TERMINATION
AGRORION may suspend or terminate access at its sole discretion to protect the Platform, users, or legal compliance.
- DISCLAIMERS
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
AGRORION DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
- LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- AGRORION SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
- TOTAL LIABILITY SHALL NOT EXCEED $100 USD OR FEES PAID IN THE PRIOR 12 MONTHS, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations; mandatory rights apply.
- INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Agrorion, LLC from all claims arising from:
- Your products or listings
- Foodborne illness or livestock injury
- Regulatory violations
- Content or IP infringement
- Taxes, refunds, or chargebacks
- SANCTIONS & EXPORT CONTROLS
You represent that you are not located in, under control of, or acting on behalf of any sanctioned country or restricted party and that your use of the Platform complies with applicable export and sanctions laws.
- FORCE MAJEURE
AGRORION is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, labor disputes, internet failures, pandemics, or government actions.
- DISPUTE RESOLUTION & ARBITRATION
18.1 Informal Resolution
Contact legal@agrorion.com before filing claims.
18.2 Arbitration (U.S. Users)
U.S. disputes shall be resolved by binding individual arbitration (no class actions), except where prohibited by law. Opt-out rights may be provided.
18.3 Consumer Rights
Nothing in these Terms limits mandatory consumer rights under local law (EU, UK, etc.).
- GOVERNING LAW & VENUE
Except where prohibited by mandatory local law, these Terms are governed by the laws of the State of Tennessee, USA, with venue in Shelby County, Tennessee.
- CHANGES TO TERMS
AGRORION may update these Terms at any time. Continued use constitutes acceptance.
